The Rwanda Development Board's online registration portal is the working entry point for incorporating a business in Rwanda. The system handles company registration, tax-identification-number (TIN) issuance, and social-security-board (RSSB) registration in a single application. Most submissions are processed within one working day. This is the step-by-step 2026 guide.
Before you log in — what to have ready
- Scanned passport or national ID for every director and shareholder. PDF preferred.
- Recent passport-style photo for the lead applicant.
- Proposed business name — check availability on the portal before registering.
- Business address — a physical Rwandan address. PO Box alone is not accepted.
- Memorandum and Articles of Association (for Ltd companies). The RDB portal provides standard templates; modify as needed and upload.
- Director and shareholder ownership percentages — must add up to 100%.
- Initial declared capital for Ltd companies (no minimum, but declare a realistic figure).
- Sector code(s) for your business activity — Rwanda uses ISIC-based sector codes.
- Email address for receiving the registration certificate.
Step 1 — visit rdb.rw and create an account
Go to rdb.rw and click Business Registration Services. Create an account using your email and a strong password. You'll receive a verification email — confirm to activate the account.
Step 2 — check business name availability
From the BRS dashboard, click Name Search. Enter your proposed business name. The system checks against all registered companies and reserved names. If available, you can proceed; if not, try variations. Names with profanity, government-sounding terms (e.g. National, Rwanda), or names too similar to existing companies will be rejected.
Step 3 — start the registration form
Click Register New Business. Select your business type from the dropdown:
- Limited Liability Company (Ltd) — most-common choice for new commercial businesses
- Sole Proprietorship — single-owner, simplest structure
- Public Limited Company (PLC) — for companies intending to list shares publicly
- Cooperative — community-owned ventures
- Branch of foreign company — for foreign companies opening Rwandan operations
- Trust / Non-profit organisation — separate registration via Rwanda Governance Board for full NGO status
Step 4 — fill the business details
Enter business name (already verified), business address (district, sector, cell, full street address), email, phone. Pick sector codes — primary plus up to four secondary sectors. The sector codes determine which licences and tax obligations apply.
Step 5 — add directors and shareholders
Upload passport or national ID for each director and shareholder. Enter their full name, date of birth, nationality, role (director, shareholder, or both). For shareholders, enter ownership percentages. Total must equal 100%.
Step 6 — upload incorporation documents (Ltd only)
For Ltd companies, upload the Memorandum and Articles of Association. RDB provides a standard template that's adequate for most simple Ltd companies — download from the portal, fill in your specifics (name, capital, directors), sign, scan, upload. For more complex shareholding structures, draft custom AOA via a lawyer.
Step 7 — declare initial capital
Enter the company's initial declared capital. No minimum but you should declare a realistic amount — RWF 500,000-2,000,000 is typical for a small business; RWF 5,000,000+ for businesses planning to apply for the investment certificate (USD 250,000 threshold).
Step 8 — review and submit
Review every field. The system summarises everything before final submission. Click Submit.
Step 9 — wait for processing
Processing typically takes 6-12 working hours for online applications. If RDB needs clarification, they email; respond promptly to avoid delays. Once approved, you'll receive:
- Certificate of Incorporation (PDF)
- Company Registration Number
- Taxpayer Identification Number (TIN)
- RSSB registration number (Rwanda Social Security Board)
- Confirmed sector codes
Common mistakes that delay approval
- Business name too similar to existing. Use the name-availability tool before submitting.
- Ownership percentages don't total 100%. System should catch this but double-check.
- Sector codes wrong or missing. Picking Catering when you mean Restaurants triggers different licences.
- Missing business address proof. A lease, utility bill, or letter confirming address is sometimes requested.
- Director ID expired or unclear scan. Upload high-quality scans of valid IDs.
- Initial capital declared as zero or unrealistically low. RWF 100,000 won't be rejected automatically but flags review.
After registration
With your Certificate of Incorporation and TIN, proceed to:
- Open a business bank account — Bank of Kigali, Equity, KCB, I&M Bank are the main options.
- Register for EBM (Electronic Billing Machine) at RRA — required if you'll issue invoices.
- Register for VAT if turnover will exceed RWF 20 million.
- Apply for sector-specific licences — restaurant, salon, pharmacy, etc. via the relevant authority.
- Lease formalisation — if you don't yet have a long-term lease, sign one and register with the district office.
